By creating an account or using Customer Connect, you acknowledge that you have read and agreed to these Terms and the Privacy Policy.
1. Acceptance of These Terms
These Terms of Service govern access to and use of Customer Connect, including its websites, dealer portal, customer portal, administrative tools, integrations, and related services.
By creating an account, accessing the platform, or using any Customer Connect service, you agree to these Terms. If you are acting on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Customer Connect Services
Customer Connect provides software tools designed to support dealership customer service, communication, estimates, orders, scheduling, payments, reviews, promotions, reporting, team access, integrations, and related business workflows.
Features may change, improve, be replaced, or be discontinued over time. Availability may depend on subscription status, role permissions, integrations, geographic location, technical requirements, or third-party services.
3. Eligibility and Account Authority
You must be legally capable of entering into a binding agreement and authorized to act for the dealership or business associated with the account.
You agree to provide accurate, current, and complete account and business information and to keep that information updated.
4. Account Security
You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account.
You must use reasonable security practices, limit access to authorized users, promptly remove access for former employees, and notify Customer Connect of suspected unauthorized access or security incidents.
Customer Connect may suspend or restrict access when necessary to protect the platform, users, dealership data, or third-party systems.
5. Dealership Responsibilities
Each dealership is responsible for:
- The accuracy, legality, and quality of the data it submits or synchronizes.
- Obtaining any required permissions, notices, and consents from customers, employees, contractors, and other individuals.
- Configuring account permissions and determining who may access dealership information.
- Reviewing estimates, payments, appointments, messages, promotions, and other business activity before relying on them.
- Complying with applicable consumer, privacy, advertising, payment, tax, employment, and industry laws.
6. Customer Communications
Customer Connect may help dealerships send messages, updates, reminders, promotions, review requests, and other communications.
The dealership is responsible for the content, timing, recipients, legal basis, and accuracy of those communications, including compliance with applicable email, text-message, telemarketing, and consumer-protection laws.
7. Subscriptions, Free Trials, and Billing
Paid access is offered through recurring subscription plans. Pricing, billing intervals, included licenses, and available features are shown during enrollment or within the subscription area.
Eligible new accounts may receive a 7-day free trial. Unless canceled before the trial ends, the selected subscription will begin and the payment method provided during checkout may be charged.
Subscriptions renew automatically according to the selected billing interval unless canceled before the renewal date.
You authorize Customer Connect and its payment provider to charge all applicable subscription fees, taxes, and approved charges.
8. Cancellation and Refunds
You may cancel a subscription through the available billing-management tools. Cancellation generally takes effect at the end of the current paid billing period unless otherwise stated.
Fees are non-refundable except where required by law or expressly approved by Customer Connect. Cancellation does not automatically create a refund for unused time.
9. Payment Processing
Subscription billing, customer payments, payouts, and related financial services may be provided by Stripe or another approved provider.
Use of payment services may require agreement to the provider’s separate terms, identity verification requirements, fees, dispute procedures, and prohibited-business rules.
Customer Connect is not a bank, money transmitter, or financial institution.
10. Integrations and Third-Party Services
Customer Connect may connect with RFMS, Stripe, Firebase, email services, communication providers, analytics services, and other third-party systems.
Third-party services are governed by their own terms and policies. Customer Connect does not control and is not responsible for third-party availability, accuracy, security, changes, fees, or outages.
You authorize Customer Connect to exchange information with enabled integrations as necessary to provide the requested functionality.
11. Acceptable Use
You may not use Customer Connect to:
- Violate any law, regulation, contract, or third-party right.
- Upload malicious code, interfere with security, or disrupt platform operation.
- Attempt unauthorized access to accounts, data, systems, or networks.
- Send deceptive, abusive, unlawful, harassing, or unauthorized communications.
- Copy, reverse engineer, scrape, resell, sublicense, or misuse the platform except as permitted in writing.
- Use Customer Connect to develop or train a competing product using confidential platform information.
12. Data and Content Ownership
As between Customer Connect and the dealership, the dealership retains its rights in the business and customer data it submits.
You grant Customer Connect a limited license to host, process, transmit, display, back up, and use submitted data as necessary to provide, secure, support, and improve the services.
You represent that you have the rights needed to provide all submitted data and content.
13. Customer Connect Intellectual Property
Customer Connect, its software, designs, interfaces, branding, documentation, workflows, text, graphics, and underlying technology are owned by Evntra Services LLC or its licensors.
These Terms provide only a limited, non-exclusive, non-transferable, revocable right to use the service during an active authorized account. No ownership rights are transferred.
14. Confidentiality
Each party may receive nonpublic business, technical, financial, or operational information from the other.
Confidential information must be protected using reasonable care and used only for purposes related to the services, except where disclosure is required by law or authorized by the disclosing party.
15. Service Availability and Changes
Customer Connect may perform maintenance, updates, security work, and feature changes. The platform may occasionally be unavailable due to planned maintenance, emergencies, third-party outages, internet failures, or events beyond reasonable control.
We may impose reasonable limits or suspend features to protect performance, security, legal compliance, or platform integrity.
16. Suspension and Termination
Customer Connect may suspend or terminate access for nonpayment, security concerns, illegal use, material breach, abuse, fraud, or risk to the platform or others.
Upon termination, access may end immediately. Certain provisions, including payment obligations, ownership, confidentiality, disclaimers, limitations of liability, and dispute terms, will survive.
17. Disclaimers
Customer Connect is provided on an “as is” and “as available” basis to the fullest extent permitted by law.
We do not guarantee uninterrupted operation, error-free performance, specific revenue results, increased sales, payment collection, customer satisfaction, integration availability, or business outcomes.
Dealerships remain responsible for business decisions, customer relationships, pricing, estimates, orders, installation work, communications, legal compliance, and financial results.
18. Limitation of Liability
To the fullest extent permitted by law, Customer Connect, Evntra Services LLC, and their affiliates, officers, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or service interruption.
To the fullest extent permitted by law, total liability arising from or related to the services will not exceed the amount paid by the dealership to Customer Connect during the 12 months preceding the event giving rise to the claim.
19. Indemnification
You agree to defend, indemnify, and hold harmless Customer Connect, Evntra Services LLC, and their affiliates, officers, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from your data, business practices, communications, violation of law, misuse of the services, or breach of these Terms.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
Before filing a formal claim, the parties agree to attempt in good faith to resolve the dispute through written notice and informal discussion.
Any legal proceeding that is not otherwise subject to a required dispute process must be brought in a court of competent jurisdiction located in Maryland, unless applicable law requires otherwise.
21. Changes to These Terms
We may update these Terms as the platform and business evolve. Updated Terms will be posted with a revised effective date. Continued use after the effective date of updated Terms constitutes acceptance of those changes.
22. General Provisions
These Terms, together with the Privacy Policy and any applicable order, subscription, or service agreement, form the complete agreement regarding Customer Connect.
If any provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent. Customer Connect may assign them in connection with a merger, reorganization, financing, or sale of business assets.
